Terms of Service

1. Agreement to Terms

By accessing or using VasperaPM ("Service"), operated by Vaspera Capital ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

VasperaPM is an AI-powered software tool that assists with product management tasks, including but not limited to document analysis, requirements synthesis, and specification verification. The Service uses artificial intelligence and machine learning technologies to process and analyze content.

3. AI-Generated Content Disclaimer

IMPORTANT: The Service utilizes artificial intelligence to generate content, suggestions, and analysis. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or omissions
  • AI-generated content should not be relied upon as the sole basis for business, legal, technical, or other decisions
  • You are solely responsible for reviewing, verifying, and validating all AI-generated content before use
  • The Company makes no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content
  • AI outputs do not constitute professional advice of any kind

4. User Responsibilities

You agree to:

  • Provide accurate account information and keep it updated
  • Maintain the security of your account credentials
  • Not use the Service for any unlawful purpose or in violation of any applicable laws
  • Not attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Not use the Service to process sensitive personal data without appropriate safeguards
  • Not share, resell, or redistribute access to the Service without authorization

5. Intellectual Property

The Service, including all software, algorithms, models, documentation, and related materials, is the exclusive property of Vaspera Capital and is protected by intellectual property laws. You retain ownership of your input data and content you create using the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology. Any unauthorized use may result in immediate termination of your account and legal action.

6. Subscription and Payment

Paid subscriptions are billed in advance on a monthly basis. You authorize us to charge your payment method for all fees incurred. Subscription fees are non-refundable except as required by law.

We reserve the right to modify pricing with 30 days notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • VASPERA CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • IN NO EVENT SHALL VASPERA CAPITAL'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
  • VASPERA CAPITAL IS NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT, DECISIONS MADE BASED ON SERVICE OUTPUTS, OR THIRD-PARTY INTEGRATIONS.

8. Indemnification

You agree to indemnify, defend, and hold harmless Vaspera Capital, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) your content or data processed through the Service.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Sections regarding intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
